CONSTITUTION AND BYLAWSOfTHE HOLIDAY ISLAND MEN’S GOLF ASSOCIATION
CONSTITUTIONPREAMBLE The purpose of this Association is to promote the playing of golf; encourage good sportsmanship on and off the courses, social relationships among its members, and encourage proper use of our courses. Another function of the Association is to assist within its capability, in promoting and developing all golfing events at its home courses. ARTICLE I NAME The name of this organization shall be THE HOLIDAY ISLAND MEN’S GOLFING ASSOCIATION (hereinafter referred to as HIMGA), and its home courses shall be the HOLIDAY ISLAND GOLF COURSES OF HOLIDAY ISLAND, ARKANSAS. ARTICLE 11 MEMBERSHIP The membership shall be limited to men who are property owners in good standing. ARTICLE III OFFICERS The officers of HIMGA shall be President, Vice President, Secretary and Treasurer, all elected by the Board of Directors from its members and shall hold office until their successors are elected by the Board of Directors after each annual election. ARTICLE IV BOARD OF DIRECTORS The governing body for HIMGA shall be nine (9) directors elected by the members, designated as the Board of Directors (hereinafter referred to as the BOARD) each member of which has full voting power. Any vacancy on the BOARD may be filled by the BOARD until the next annual election. No Director shall serve more than three consecutive years. Each BOARD member going out of office will not be eligible for re‑election for one full three year term. The BOARD shall appoint all committees necessary for conducting the affairs of HIMGA. ARTICLE V ELECTIONS Each year in October at the annual election, three (3) Directors will be elected by the membership to serve for a period of three (3) years. Election procedures are covered in the BYLAWS of this CONSTITUTION AND BYLAWS. ARTICLE VI DUTIES OF OFFICERS Section 1. PRESIDENT The President shall be the Chief Executive officer of HIMGA and shall preside at all meetings of HIMGA and the BOARD. He shall have general supervision of the administration of the affairs of HIMGA and shall be a member exofficio of all committees excepting the Nominating Committee. He shall serve as HOST at all social functions of HIMGA. Section 2. VICE PRESIDENT The Vice President shall assist the President and/or shall perform the duties of the President in case of absence or disability of the President. Section 3. SECRETARY The Secretary shall keep detailed minutes of all business transacted by HIMGA. The minutes will be kept by the Secretary but will be available at any time to the membership. The Secretary shall conduct the correspondence of HIMGA and give notice to all members of HIMGA as directed by the BOARD. He shall prepare and post all ASSOCIATION notices as directed. It will be his responsibility to make a copy of the CONSTITUTION and BYLAWS available if requested by a member.
Section 4. TREASURER The Treasurer shall have charge of the financial affairs of HIMGA, subject to the supervision and control of the BOARD with full authority in the name of and on behalf of HIMGA, to collect all dues and other accounts due HIMGA, and to pay all bills and keep regular records and render a statement of accounts when requested to do so by the BOARD and at the Annual Meeting. The funds of HIMGA shall be kept in a bank insured by the FDIC and withdrawal of funds shall be by check signed by the Treasurer or the President or the Secretary, in that order as dictated by availability. The Treasurer may maintain a petty cash fund of no more than one hundred dollars ($100.00). He shall also maintain a current membership roster and a current list of applications for membership. BYLAWSARTICLE I DUTIES OF THE BOARD OF DIRECTORS The BOARD shall control and manage all affairs of HIMGA. The BOARD shall have the responsibility of maintaining the fiscal stability of HIMGA. However, the BOARD may propose an assessment for a special purpose or project. Such a proposal must be made at a meeting of the membership and the majority of those present, by an affirmative vote, will be required for the adoption of said proposal. The BOARD, at each of its meetings, may confirm or rescind memberships granted by the membership committee since its last meeting. The BOARD may at any time, for due cause, request the forfeiture of any membership in HIMGA. The BOARD will choose the officers of HIMGA prior to the Annual meeting from the newly elected and the carryover Directors. The BOARD may appoint any other officers or any committees which it may find necessary from time to time and fill any vacancy which may occur. The BOARD shall hold meetings as needed, at the time and place specified by the President. Any two (2) members of the BOARD may request the President to call a special meeting of the BOARD at any time. The BOARD also has the authority to call a special membership meeting at any time. Notification to the membership, of a special meeting, must be made at least three weeks prior to the discussion meeting. Notification will be posted on the bulletin board and in the Pro Shop.
ARTICLE II GRADES OF MEMBERSHIP Section 1. Handicap An established handicap at the Holiday Island Golf Club is necessary in order to compete in the Club special tournaments. Section 2. Play Cancellation Policy Members are personally responsible for sign‑up or cancellation ‑‑‑ NO PHONE CALLS. Sign‑up or cancellation must be made prior to the designated time. If a member fails to cancel and is a no show for scheduled play, he must pay the normal fee. Until missed play fees are paid he cannot participate in any subsequent scheduled play. Section 3. Mature (75+) Membership Any member reaching the age of seventy-five (75) has the option to play from the yellow tees. Any member reaching the age of eighty (80) prior to April 1st of the current HIMGA season enjoys remission of dues and assessment fees without sacrificing any membership privileges. Section 4. Honorary Membership Any non‑member, who has rendered exceptional service to HIMGA, may be eligible for Honorary membership upon unanimous approval of the BOARD and thereby be entitled to enjoy the social privileges of HIMGA. Section 5, New Members joining Holiday Island Men’s Golfing Association as of March 15, 1988, or thereafter, will pay $100.00 initiation fee. The $100.00 initiation fee will be designated for golf course beautification and improvement.
ARTICLE III STANDING COMMITTEES Section 1. Membership/Social Committee The Committee Chairman shall welcome all new members and provide them with current rules of play. He shall also coordinate contact with members or families in cases of serious illness, accident, or death. Section 2. Nominating Committee This committee shall consist of three members appointed by the President in August. The Nominating Committee shall develop a list containing a minimum of seven members who agree to serve the three year term. Once the BOARD approves the Candidate list it will be submitted to the general membership for a vote before the annual meeting. The membership will choose three (3) new members via secret ballot. Ballots, which will be provided with the Candidate list, will be placed in a sealed ballot box in a location designated by the BOARD. Section 3. Tournament Scheduling Committee This committee shall schedule all available active members at stated starting time for each play day. When our regular play days are preempted by holidays, our play may be scheduled on an alternate day. As a goal the makeup of foursomes shall be arranged so that during the course of the season, all players shall have had an opportunity to play with a different player in order to promote fellowship. Each foursome shall have a designated Captain who will see that the scorecard is signed by two members, dated and turned in at the Clubhouse. A calendar of play shall be posted on the bulletin board for each month. Section 4. Handicap/Rules Committee The handicaps shall be calculated by this committee in accordance with policies established by the Board. The committee shall review USGA rules and develop local rules in coordination with the resident Golf Professional and Course Superintendent. Local rules will be provided to the general membership. Section 5. Beautification/Improvement Committee The committee shall coordinate and manage volunteers for maintenance of flower boxes and any improvement projects funded by the Association. Section 6. Special Committees The BOARD may appoint special committees as the occasion may arise, such as picnics, etc. ARTICLE IV MEMBERSHIP DUES Annual dues are due and payable at the Spring general membership meeting. $10.00 of the annual dues will be directed to the Golf Course Beautification and Course Improvement Fund. ARTICLE V MEETINGS Section 1. Annual Meeting The Annual Meeting shall be held in October as determined by the BOARD. , The agenda will include reports of Standing Committees, awards presentation, and for any other business that should be brought before the Meeting. Section 2. Spring Meeting A Spring Meeting shall be held prior to the start of the playing season in April, to acquaint the members with the Rules of Play and general plans for the coming season. Section 3. Special Meetings Special Meetings of the members may be called by the BOARD upon request of ten (10) members. ARTICLE VI AMENDMENTS Section 1. CONSTITUTION The Constitution may be altered, added to, amended or rescinded only at a meeting of the membership at which there is a majority present (more that half of the membership) by affirmative vote of two‑thirds (2/3) of the members present. Section 2. BYLAWS Recommendations for changes in the BYLAWS may be made at any time to the BOARD who will then review the changes and present them to the general membership for a vote. BYLAWS should be reviewed at least every three years. ARTICLE VII PARLIAMENTARY AUTHORITY Robert’s Rules of order shall be HIMGA’S final authority on all questions on Parliamentary Law not covered by the above CONSTITUTION and BYLAWS. The BOARD shall decide all questions or interpretation. REVIEWED AND REVISED: January, 1988, March, 1994, April 2007, and March 2009.
